Terms and Conditions for the Talkadot & NSA Giveaway
Do not proceed to enter if you are not at least 21 years of age.
This giveaway is offered by Talkadot Corp. “Talkadot” and may be promoted in various creative executions online and in print at any time during the giveaway. Note that the Websites referenced within these Official Rules may not be the full list of websites (i.e., specific URLs) used to promote this giveaway.
- Objective of the Contest: The giveaway is open to all members of the National Speakers Association (“NSA”) who sign up for a Talkadot account. Participants have the opportunity to win a 3-night stay at a hotel in Ventura County, CA, a trip for two to Channel Island, and $500 in spending cash through a Gift Card. Additionally, if the winner is an active paid Talkadot Pro user at the time of the close of this promotion, they will also receive an $800 Delta Airlines gift card.
- Eligibility Criteria: Participants must be current members in good standing of the National Speakers Association national organization, and participants must hold an active account with Talkadot, on at least the “Lite” level.
- Contest Period: Jan 19, 2024 to August 5, 2024 11:59PM PT
- How to Enter: Participants must be active NSA members and register for a Talkadot account. Additional entries can be obtained by referring others to Talkadot and creating a Talkadot slide.
Eligibility for Initial Entry:
To be eligible for one (1) initial entry, participants must satisfy both of these conditions:
- Be an active member of the National Speakers Association (NSA).
- Have completed the registration for a Talkadot account.
Additional Entries through Referrals:
Participants can earn two (2) additional entries for each new person they successfully refer to Talkadot.
- Conditions for referral entries:
- Referrals must be new to Talkadot (i.e., they have not previously created a Talkadot account prior to Jan 19, 2024).
- Each referred person must sign up for a Talkadot account between Jan 19, 2024 and August 5, 2024.
- There is no limit to the number of referral entries a participant can earn.
Additional Entries for Creating a Talkadot Slide:
- Participants can earn five (5) additional entries for creating at least one original Talkadot slide.
- Conditions for slide creation entries:
- The slide must be actively used to collect feedback.
- Default or pre-existing slides (e.g., the default "TALK" slide) do not qualify for this additional entry.
- Only one set of five (5) additional entries is awarded per participant, regardless of the number of slides created.
- Prizes: Prizes include a 3-night luxury stay at a hotel in Ventura County, a trip for two to the Channel Islands, $500 in spending cash, and for Talkadot Pro users, $800 toward airfare. Total prize value is estimated to be around $3,000 USD.
- Winner Selection: Winners will be selected through a random draw process on August 6, 2024.
- Notification of Winners: The winner will be announced at the NSA Influence stage on August 6, 2024, and also notified via the email address used to register their Talkadot account. By accepting the prize, participants explicitly agree to all terms and conditions of this giveaway. Failure to accept the prize as outlined in these terms and conditions will result in forfeiture of the prize, and an alternate winner may be selected.
- Claiming Prizes: The winner must accept the prize in writing by August 20, 2024, otherwise an alternate winner will be selected. The prize must be claimed within one calendar year of the winner's announcement. Instructions for claiming the prize will be detailed in the winner notification email sent from hello@talkadot.com
- Rights and Permissions: By entering this giveaway, participants grant Talkadot and the National Speakers Association (NSA) the right to use their name, likeness, and image for the purpose of promoting the giveaway and its results, without any compensation. This permission includes, but is not limited to, announcements of the winner, promotional material, and other marketing activities. The rights granted are non-exclusive and worldwide.
- Liability and Release: Participants agree to release and hold harmless Talkadot, NSA, Ventura County, and their respective affiliates, subsidiaries, advertising and promotion agencies, and their respective officers, directors, employees, representatives, and agents from any and all liability for any injuries, loss, or damage of any kind arising from or in connection with this giveaway or any prize won.
- Privacy Policy: Personal information collected from participants will only be used for the purpose of administering the giveaway and as otherwise set forth in these terms and conditions. Personal information may be shared with third-party service providers for the purpose of prize fulfillment.
- Governing Law: This giveaway and its terms are governed by the laws of Delaware and are subject to all applicable federal, state, and local laws and regulations. The giveaway is void where prohibited by law.
- Severability: If any provision of these Terms is found to be invalid under any applicable law, such provisions shall be deleted without affecting the remaining provisions herein.
- No Purchase Necessary: No purchase is necessary to enter or win the giveaway as long as you are a National Speakers Association (NSA) member. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. Buying Won't Help You Win. Chances of winning without upgrading to a paid Talkadot Pro account are the same as an NSA member who has a Free Talkadot account.
- Limitation of Liability: The organizer is not responsible for any incorrect or inaccurate information, whether caused by website users or by any of the equipment or programming associated with or utilized in the giveaway. This includes not being liable for technical failures, unauthorized intervention in the giveaway, or technical or human error in the administration of the giveaway.
- Force Majeure: The organizer is not responsible for the cancellation, modification, or suspension of the giveaway due to events beyond our control.
- Affirmation of Acceptance of and Agreement to All of the Terms and Conditions:
By entering this giveaway, the participant agrees to abide by all terms and conditions, as established herein. If the selected winner declines the prize, or fails to claim the prize by August 20, 2024, a new random winner will be chosen.
- Dispute Resolution:
All disputes related to this giveaway shall initially be addressed by contacting Talkadot at hello@talkadot.com. In the event a dispute cannot be resolved through this initial contact, the parties agree to final and binding arbitration, rather than in court, with the following exceptions:
- The parties retain the right to bring an individual action in small claims court.
- The arbitration will be conducted in the State of Delaware and governed by Delaware law.
The arbitration shall be conducted under the rules of an agreed-upon arbitration body. By participating in this giveaway, participants agree that they will not initiate or participate in any class action lawsuit against Talkadot and NSA regarding any claim, dispute or controversy arising from or relating to this giveaway.
Limitation of Damages: In any arbitration or permitted court proceeding, participants agree that their recovery is limited to actual out-of-pocket costs incurred in entering the giveaway, with all rights to attorney fees and any indirect, punitive, consequential, and incidental damages being waived
14. Amendments to the Terms: The giveaway organizers reserve the right to amend the giveaway rules or terminate the giveaway at any time without prior notice. Any amendments to the terms and conditions will be updated on www.talkadot.com/nsa
